1. Acceptance of Agreement

This End User License Agreement ("Agreement") governs your access to and use of the Wisent mobile and web applications ("App" or "Software") provided by Wisent Software ("we," "us," or "our"). By downloading, installing, or using the App, you agree to be bound by this Agreement. If you do not agree, do not install or use the App.

2. License Grant

Subject to your compliance with this Agreement, Wisent Software grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App on compatible devices solely for personal, non-commercial use, in accordance with applicable store terms and this Agreement.

3. Restrictions

You may not:

Copy, modify, or distribute the App or any portion thereof.
Reverse engineer, decompile, or attempt to extract source code.
Circumvent technical limitations or security features.
Rent, lease, sublicense, or commercially exploit the App.
Use the App for unlawful, harmful, or deceptive purposes.
Harass, bully, threaten, or intimidate other users or any individual.
Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
Engage in any conduct intended to harm, abuse, or exploit others.

Violation of these restrictions may result in termination of your license.

4. Ownership

The App is licensed, not sold. Wisent Software retains all ownership, intellectual property rights, and proprietary interests in the App and its content. This Agreement does not convey any ownership rights to you.

5. Updates and Modifications

We may, at our discretion, provide updates, patches, or new versions of the App. Such updates may occur automatically or require manual installation. Continued use after an update constitutes acceptance of the revised version.

6. AI-Generated Content Disclaimer

The App uses AI services from OpenAI (GPT), Anthropic (Claude), and Google (Gemini). When you use AI features, your prompts and calendar context may be transmitted to these providers.

6.1 AI Limitations:

AI outputs are NOT human-verified. You acknowledge that:

AI content may be inaccurate, incomplete, or inappropriate.
You are solely responsible for verifying AI outputs.
AI responses do NOT constitute professional advice.
Do NOT rely on AI for legal, medical, financial, or safety-critical decisions.

6.2 Liability:

Wisent Software DISCLAIMS ALL LIABILITY for damages resulting from reliance on AI-generated content.

7. Data Collection and Privacy

The App collects and processes data as described in our Privacy Policy at https://wisentapp.com/privacy-policy. By using the App, you consent to data processing as outlined therein.

8. Termination

This Agreement is effective until terminated by either party. Your rights automatically terminate without notice if you fail to comply with its terms. Upon termination, you must cease use and delete all copies of the App. Sections regarding intellectual property, limitations, disclaimers, and liability survive termination.

8.1 Immediate Termination for Harmful Conduct: Wisent Software reserves the right to permanently disable your account and terminate this Agreement immediately, with or without prior warning or notice, if we determine in our sole discretion that you are engaging in harassment, impersonation, or any conduct intended to harm others. You will not be entitled to any refund upon termination for such violations.

9. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation.

10. Limitation of Liability

To the fullest extent permitted by law, Wisent Software and its affiliates shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to your use or inability to use the App, including data loss, malfunction, or reliance on AI-generated content.

11. Governing Law

This Agreement is governed by the laws of the United States, without regard to conflict-of-law principles.

12. Third-Party Terms

Use of the App may be subject to additional terms imposed by Apple Inc., Google LLC, Microsoft Corporation, or other distribution platforms. You agree to comply with all applicable store and platform terms when downloading or using the App.

14. Apple App Store Terms

If you acquired the App from the Apple App Store, the following terms apply:

This Agreement is between you and Wisent Software only, not with Apple Inc. ("Apple").
Wisent Software, not Apple, is solely responsible for the App and its content.
The license granted herein is limited to a non-transferable license to use the App on Apple-branded products that you own or control.
Apple has no obligation to furnish any maintenance or support services with respect to the App.
In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and use of the App, including: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection or similar legislation.
Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights.
You represent and warrant that (a) you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
Apple and its subsidiaries are third-party beneficiaries of this Agreement, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.

15. Google Play Terms

If you acquired the App from Google Play:

This Agreement is between you and Wisent Software only, not with Google LLC.
Google is not responsible for the App or its content.
You agree to comply with Google Play's Terms of Service.
Google has no obligation to provide support for the App.
