1. Acceptance of Terms

By accessing or using the Wisent mobile or web applications ("App" or "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. Wisent Software ("we," "us," or "our") may modify these Terms at any time, and continued use after changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have consent from a parent or guardian. We do not knowingly permit users under 13 without verified parental consent.

3. Closed Beta Program

The Service is currently offered as a closed beta. Features may be incomplete, unstable, or unavailable at times. Participation is voluntary and provided "as is" for testing and feedback. We make no warranty that the Service will function without error or interruption.

4. Account Registration and Security

To use certain features, you may be required to create an account. You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately of unauthorized use.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Attempt to reverse engineer, copy, or modify any portion of the App or Service.
• Interfere with the integrity or security of our systems.
• Use the Service to generate or distribute harmful, misleading, or unlawful content.
• Access the Service using automated means without prior written consent.

Violation of these restrictions may result in suspension or termination of your account.

6. AI-Generated Content

The Service incorporates AI technologies from various providers, including but not limited to OpenAI (ChatGPT), Anthropic (Claude), Google (Gemini), and other AI services and tools. We may use additional AI models and services at our discretion, particularly during beta programs, without prior notice to users. AI outputs are generated algorithmically and are not human-verified. You acknowledge that:

• AI content may be inaccurate, incomplete, or inappropriate.
• You are solely responsible for how you interpret or act upon AI outputs.
• AI responses are provided for informational purposes only and should not replace professional advice in legal, medical, financial, or safety-critical matters.
• Wisent Software is not liable for any damages or outcomes resulting from reliance on AI-generated content.

7. Payments and Subscriptions

The Service may include optional in-app purchases, subscriptions, or donation links processed through third-party platforms including Stripe, RevenueCat, and Polar.sh. By making a payment, you agree to the terms and privacy policies of these processors. We do not store full payment information and are not responsible for payment errors or disputes handled by third parties. All purchases are final unless required otherwise by applicable law or platform policy.

8. Intellectual Property

All content, design, trademarks, and software within the Service are owned or licensed by Wisent Software and protected under applicable copyright and intellectual property laws. You may not copy, distribute, modify, or create derivative works based on the Service without prior written consent.

9. Feedback and User Submissions

By submitting feedback, suggestions, or ideas, you grant Wisent Software a perpetual, worldwide, royalty-free license to use and incorporate such feedback into the Service without obligation or compensation.

9A. Beta Feedback Agreement

As part of the closed beta program, users may submit feedback, bug reports, feature suggestions, or other input related to the App ("Feedback"). You acknowledge and agree that:

• All Feedback, including written submissions, in-app logs, crash data, screenshots, or recordings generated during beta participation, becomes the property of Wisent Software upon submission.
• You grant Wisent Software a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, distribute, and otherwise incorporate the Feedback into current or future products and services.
• Feedback may be used internally for debugging, research, or product development purposes.
• No confidentiality obligation applies to Feedback submitted through the beta program unless expressly agreed in writing.
• You will not submit information that infringes the intellectual property rights of others or violates applicable law.
• Wisent Software is under no obligation to provide compensation, attribution, or acknowledgement for Feedback.

Participation in the beta program is voluntary, and by submitting Feedback, you agree that all data and ideas shared may be used by Wisent Software without restriction.

10. Data and Privacy

Our collection and processing of personal data are governed by our Privacy Policy (https://wisentapp.com/privacy-policy). By using the Service, you acknowledge that you have read and agreed to that Policy. Personal data and user-generated content are retained for up to five (5) years from the date of last account activity, after which they will be automatically deleted unless retention is required by law or for legitimate business purposes.

11. Termination

We reserve the right to suspend or terminate access to the Service, in whole or in part, at our discretion and without prior notice, including for violation of these Terms or applicable law. Upon termination, your right to use the Service ceases immediately. You may also delete your account within the App or through the web portal.

12. Disclaimers

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. We disclaim all warranties, including those of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We make no guarantee that the Service will be uninterrupted, secure, or error-free.

13. Limitation of Liability

To the maximum extent permitted by law, Wisent Software and its affiliates, officers, directors, employees, and partners shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including loss of profits, data, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Service.
• Reliance on AI-generated or automated outputs.
• Unauthorized access to or alteration of your data.
• Any bugs, errors, or interruptions arising during the beta phase.

Some jurisdictions do not allow exclusion of certain warranties or limitations of liability, so portions of this section may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Wisent Software and its affiliates, officers, and employees from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

15. Governing Law

These Terms shall be governed by and construed under the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Any disputes shall be brought exclusively in the competent courts of Delaware.

16. International Users

Accessing the Service from regions with laws differing from Delaware may result in the transfer and processing of data in the United States. By using the Service, you consent to such transfers.

17. Changes to the Terms

We may modify or update these Terms at any time, with or without notice. Changes may be posted on our website with the updated effective date. Continued use of the Service after any modification constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed about your rights and obligations.
